Terms of Service

1. Use of Service

LatestRounds provides startup funding data, company enrichment, investor intelligence, and API access for informational and operational use. Access is available via REST API and MCP (Model Context Protocol) server.

This is not financial or investment advice.

2. API Access, MCP Server, and Credits

All API calls and MCP tool calls consume credits. Credits are allocated monthly based on your plan and do not roll over. Each successful HTTP 200 response charges the applicable credit amount. Errors (4xx, 5xx) do not consume credits.

When your credit balance reaches zero, API and MCP access is suspended for the remainder of the billing period. Credits reset automatically at the start of your next billing cycle. To restore access immediately, you may upgrade to a higher plan from your dashboard — upgraded credits take effect right away.

Credits are not sold separately and are not transferable between accounts.

Credit costs by endpoint tier:

• Funding feed and list endpoints — 1 credit per record returned
• Hiring signals, similar companies — 2 credits per call
• Investor profile, tech stack, founder data — 3 credits per call
• Full company enrichment, investor portfolio — 5 credits per call
• Filters and metadata endpoints — free

MCP tool calls (via Claude, Cursor, or any MCP-compatible client) map directly to the underlying API endpoints and consume the same credits as direct API calls.

Access is subject to your plan limits. We may:

• Enforce per-minute rate limits and monthly credit quotas
• Return HTTP 429 when limits are exceeded
• Modify rate limits or credit costs at any time with reasonable notice

3. API Key Responsibility

You are solely responsible for all activity that occurs under your API key, whether or not you authorized it. This includes all credit consumption, data access, and any violations of these Terms carried out using your key.

• Keep your API key confidential — never expose it in client-side code, public repositories, or shared environments
• Do not share your key with individuals outside your organization
• Revoke and rotate a compromised key immediately from your API dashboard

LatestRounds is not liable for unauthorized use of your API key. Charges incurred through a leaked or shared key are your responsibility and are non-refundable.

4. Fair Use and Abuse

You agree NOT to:

• Scrape or extract data beyond your plan's intended usage
• Attempt to bypass rate limits, credit deductions, or access controls
• Resell or redistribute raw data without written permission
• Use the data to build a competing funding data product or dataset
• Overload or disrupt the API or MCP server
• Share API keys across multiple organizations

We reserve the right to suspend or revoke access at any time for abuse or misuse, without notice or refund.

5. Payments and Billing

• Subscriptions are available on monthly or annual billing cycles
• Annual plans are billed upfront for the full year
• Payments are processed via Stripe
• Prices may change with advance notice
• Downgrading mid-cycle does not generate a prorated refund

6. No Refund Policy

All payments are non-refundable.

Once you make even a single API call or MCP tool call within a billing period, that month's subscription charge becomes non-refundable. This applies regardless of how many credits were consumed or how much of the billing period remains.

For annual plans, once any API call or MCP call is made, the full annual payment is non-refundable.

Refunds are also not issued for:

• Unused credits at the end of a billing period
• Downgrading to a lower plan mid-cycle
• Account suspension due to abuse or policy violations
• Charges incurred through a leaked or shared API key
• Dissatisfaction with data freshness, coverage, or accuracy

If you cancel your subscription, access continues until the end of the current billing period. No further charges will occur after cancellation.

7. Data Disclaimer

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of accuracy, completeness, merchantability, or fitness for a particular purpose.

• Data is aggregated from public sources and third-party signals
• Funding amounts, dates, and investor details may be estimates or subject to correction
• Coverage and freshness vary and are not guaranteed
• You use the data at your own risk

8. Data Caching, Storage, and Personal Data

You may cache API responses for internal operational use for a period not to exceed 30 days. You may not use cached or stored data to reconstruct or approximate the LatestRounds dataset, build a competing product, or distribute data to third parties beyond your normal workflow (e.g., syncing to your CRM).

Some API responses contain personal data — including but not limited to founder names, LinkedIn profile URLs, and investor contact details. By calling these endpoints and storing or processing the results, you become a data controller for that personal data under applicable law.

You are solely responsible for ensuring your downstream use, storage, and processing of personal data complies with all applicable data protection laws, including GDPR and CCPA. LatestRounds makes no representation that the data is lawful to process in your jurisdiction, and accepts no liability for your use of personal data obtained through the service.

9. Service Availability

We may:

• Modify or discontinue features, endpoints, or MCP tools
• Change credit costs with reasonable notice
• Update datasets and coverage

No guarantees of uptime or data availability.

10. Limitation of Liability

To the fullest extent permitted by law, LatestRounds shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Business losses or missed opportunities
• Decisions made using LatestRounds data
• Incorrect, incomplete, or stale data
• Interruptions to API or MCP server availability
• Unauthorized access resulting from a compromised API key

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to LatestRounds in the 30 days prior to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless LatestRounds and its affiliates, officers, directors, and employees from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorney's fees) arising from or related to:

• Your use of the API or MCP server
• Your violation of these Terms
• Your downstream storage, processing, or distribution of data obtained through the service
• Your violation of any third-party rights, including applicable data protection laws
• Any activity conducted under your API key

12. Termination

We may suspend or terminate access:

• For violations of these Terms
• For abuse of the API or MCP server
• At our discretion, with or without notice

Termination for violations does not entitle you to a refund.

13. Changes

We may update these Terms at any time. Continued use of the service constitutes acceptance of the updated Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in California for resolution of any disputes.
